1. Agreement to Terms
By accessing and using the services provided by Xavier Sosa, you agree to be bound by these Terms of Service. If you do not agree to abide by the above, please do not use this service.
2. Services Described
Xavier Sosa provides custom website design, development, hosting, and ongoing maintenance services for small businesses and entrepreneurs. Services are provided under a monthly subscription model following an initial one-time setup phase. The scope of work is defined in the project agreement signed prior to service commencement.
3. Pricing and Payment
A one-time setup fee is charged to cover design, development, and initial launch work. Monthly subscription fees cover hosting, maintenance, updates, and ongoing support. All payments are processed via Stripe and charged on the agreed billing date each month. Payment failure or non-payment after 15 days will result in service suspension until payment is received. Xavier Sosa reserves the right to adjust pricing with a minimum of 30 days written notice via email.
4. Intellectual Property
The client retains full ownership of all content, copy, images, and materials provided or created specifically for their site. Xavier Sosa retains all rights to the underlying code, design framework, and development methodology until final payment is received. Upon final payment in full, the client receives ownership of their specific site implementation. A "Designed by Xavier Sosa" credit may appear in the website footer or appropriate location unless removed by separate written agreement.
5. Client Responsibilities
The client agrees to provide all necessary content, assets, and materials in a timely manner to keep the project on schedule. The client is responsible for reviewing design mockups and approvals promptly and providing clear feedback. The client must maintain their own domain registration and provide access to domain and hosting accounts as needed. The client is responsible for ensuring compliance with all laws and regulations regarding their business and website content.
6. Service Level
Xavier Sosa targets 99.9% uptime for hosted websites, leveraging Cloudflare's global infrastructure. Planned maintenance windows will be announced in advance whenever possible. Support inquiries and maintenance requests will receive a response within 2 business days. Xavier Sosa is not responsible for downtime caused by client domain misconfigurations, third-party service outages, or client-imposed access restrictions.
7. Cancellation and Refunds
The client may cancel services at any time by providing 30 days written notice. The one-time setup fee is non-refundable after development work has begun. If the client cancels mid-month, the monthly subscription fee will be prorated and refunded for the unused portion. Upon cancellation, the client will receive a complete backup of their website files and database within 5 business days.
8. Limitation of Liability
Xavier Sosa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility of such damages. The total liability of Xavier Sosa for all claims arising from or related to these services shall not exceed the total amount of fees paid by the client in the 12 months preceding the claim.
9. Modifications to Terms
Xavier Sosa reserves the right to modify these Terms of Service at any time. Changes will be effective upon email notification to the client, with a minimum of 30 days notice. Continued use of services following notification constitutes acceptance of the modified terms.
